And suppose you were asked to vote as a non controlling investor whether to allocate a bonus to the CEO equivalent to 12 months salary, if certain benchmarks are hit (all of which need to be hit, for the company to be worth anything).

Suppose your vote could tip the difference between forcing a quorum of shareholders and simply allowing this bonus to be approved by the board.

I want the company to hit all these benchmarks, obviously. I'm somewhat concerned and baffled that the CEO wants double his substantial salary just to deliver them. Yet it would be well more than worth the raise if he does deliver. Is it worth a vote against?
